AI-assisted business consultations and recommendations.
Business process analysis and workflow improvement suggestions.
Website design, development and related digital services.
Technology assessments and digital transformation guidance.
Other services described on our website or agreed to separately in writing.
The availability, scope and features of individual services may change over time. Specific projects may be governed by a separate quotation, proposal, service agreement or statement of work.
Where a separate written agreement conflicts with these Terms, the separate agreement will prevail for the relevant service to the extent of the conflict, subject to applicable law.
3. Eligibility and acceptable use
You must provide accurate information when using our website and services.
You agree not to:
Use our website for unlawful, fraudulent or harmful purposes.
Submit information that you are not authorised to share.
Upload malicious software, attempt unauthorised access or interfere with our systems.
Misuse, disrupt or attempt to compromise our AI tools or other technology.
Infringe the intellectual property or privacy rights of another person.
Use our services to create unlawful, deceptive or harmful material.
We may restrict or suspend access where reasonably necessary to protect our services, users or legal interests, subject to applicable law.
4. AI consultations and recommendations
Our AI consultation service may use information you submit about your business, objectives, challenges, operations and proposed projects to generate recommendations, summaries, process-improvement ideas or suggested technology solutions.
You acknowledge that:
AI-generated content may contain errors, omissions, outdated information or recommendations that are unsuitable for your circumstances.
Recommendations are intended to support your evaluation and decision-making. They are not a guarantee of business growth, increased revenue, reduced costs or any other outcome.
You remain responsible for evaluating recommendations and deciding whether to implement them.
You should independently verify important facts, costs, technical requirements, legal obligations and other material information before acting.
AI outputs may be similar to outputs generated for other users because AI systems can produce comparable responses to similar inputs.
The availability and performance of AI services may depend on third-party technology providers.
Unless expressly agreed in writing, our AI consultation does not constitute legal, accounting, tax, investment, financial, medical or other regulated professional advice.
We will take reasonable steps to provide useful recommendations, but we do not warrant that every AI-generated response will be accurate, complete, unique or suitable for a particular purpose.
5. Information submitted by clients
You are responsible for ensuring that information submitted through our website or consultation forms is accurate and that you have the right to provide it.
Please do not submit:
Passwords, banking credentials or authentication codes.
Identity documents or payment card details unless specifically required through an appropriate secure process.
Confidential information belonging to another person or business without authorisation.
Sensitive personal information unless it is necessary, lawfully collected and specifically requested through an appropriate process.
You grant Engweni Tech permission to use submitted information as reasonably necessary to provide the requested consultation or service, communicate with you, maintain service records and fulfil our legal obligations, in accordance with our Privacy Statement.
This permission does not transfer ownership of your business information to Engweni Tech.
6. Quotations, pricing and payment
Where a service requires payment, the applicable quotation or written agreement will specify the relevant scope, price, payment schedule and any other material conditions.
Unless otherwise agreed in writing:
A quotation is valid for the period stated in that quotation.
Work may commence after the required acceptance, deposit or payment has been received.
Additional work outside the agreed scope may incur additional charges, subject to prior agreement.
The client is responsible for providing the information, materials and approvals reasonably required to complete the work.
Applicable taxes, including VAT where legally chargeable, will be identified as required by law.
We will communicate any material pricing changes before you commit to the affected service.
Nothing in these Terms removes any statutory rights you may have concerning pricing, refunds, cancellations or unfair contract terms.
7. Website development and project delivery
For website development and related projects, the agreed quotation or service agreement should specify:
Project scope and deliverables.
Estimated timelines and important milestones.
Number of revisions included.
Client responsibilities and approval requirements.
Hosting, domain registration, maintenance and support arrangements.
Payment milestones and any applicable handover conditions.
Ownership and licensing of the completed work.
Project timelines may be affected by delays in receiving content, approvals, payment or access from the client, or by circumstances outside our reasonable control. We will communicate material delays where reasonably practicable.
Any work requested outside the agreed project scope may require a revised quotation.
8. Intellectual property
Unless a separate written agreement states otherwise, the following principles apply.
Engweni Techn materials: Our pre-existing software, source code, frameworks, reusable components, internal methods, templates, branding, documentation and proprietary tools remain owned by Engweni Tech or the relevant rights holder.
Client materials: You retain ownership of materials you lawfully provide to us, subject to any rights held by third parties. You grant us a limited permission to use those materials as necessary to deliver the agreed services.
Client-specific deliverables: Ownership or licensing of a completed website, source code, design, documentation or other deliverable will be determined by the applicable written agreement. If the agreement does not specify this, no transfer of ownership of our pre-existing intellectual property is implied.
Third-party materials: Open-source software, stock assets, fonts, plugins, APIs and other third-party materials remain subject to their respective licences and terms.
AI-generated content: Rights in AI-generated outputs may depend on applicable law, the relevant AI provider’s terms and the nature of the output. We do not guarantee exclusive ownership, copyright protection or uniqueness of every AI-generated result.
We will not knowingly claim ownership of intellectual property that belongs to a client or third party.
9. Third-party services
Our services may depend on third-party providers, including website hosting services, domain registrars, AI platforms, payment providers, analytics services, communication tools and software integrations.
These providers may operate under their own terms, availability commitments and privacy policies.
We are not responsible for independent third-party services to the extent that their actions or failures are outside our reasonable control. This does not exclude any responsibility that cannot lawfully be excluded, or any responsibility we have for our own acts or omissions.
Where a third-party service is essential to a project, we will communicate relevant dependencies and costs as reasonably necessary.
10. Privacy and personal information
We process personal information in accordance with our Privacy Statement and applicable South African law, including POPIA where applicable.
By submitting information, you acknowledge that you have been given an opportunity to read our Privacy Statement. Where processing requires consent, we will request consent separately where appropriate.
Acceptance of these Terms does not automatically constitute consent to promotional communications or to every possible use of your personal information.
11. Electronic communications and online transactions
You agree that we may communicate with you electronically about enquiries, quotations, project administration and service delivery, subject to applicable law.
Electronic records, signatures and communications may be used where legally valid.
Where you enter into a transaction through our website, we will provide applicable transaction information and disclosures required by law, including relevant business details, pricing, service terms and cancellation or refund information where applicable.
Nothing in this section removes any rights provided by the Electronic Communications and Transactions Act or other applicable legislation.
12. Cancellations, refunds and termination
The cancellation, refund and termination terms applicable to a paid service will be specified in the relevant quotation or written agreement and will be subject to applicable law.
If you wish to cancel a service, contact us at admin@engwenitech.live
Where work has commenced, any amount payable for work completed, costs incurred or services already supplied will be determined by the agreed terms and applicable law. We will not rely on this provision to remove a statutory cancellation or refund right.
We may suspend or terminate access to a service where reasonably necessary because of unlawful use, a material breach of these Terms, a security risk or another legitimate operational reason. Where appropriate, we will provide notice and an opportunity to address the issue.
Termination does not affect rights or obligations that accrued before termination.
13. Service availability and security
We take reasonable steps to maintain the availability and security of our website and services. However, uninterrupted or error-free operation cannot be guaranteed.
Services may occasionally be unavailable because of maintenance, updates, technical failures, cyber incidents, third-party outages or other circumstances.
You are responsible for maintaining the security of your own devices, accounts and access credentials.
14. Limitation of liability
To the extent permitted by applicable law, Engweni Tech will not be liable for indirect or consequential losses arising from your use of AI-generated recommendations or our website, including loss of anticipated profits, business opportunities or data, where such losses are lawfully excludable.
We do not exclude or limit liability for fraud, wilful misconduct, gross negligence where applicable, death or personal injury caused by negligence, or any other liability that cannot lawfully be excluded or limited.
Nothing in these Terms removes consumer rights or protections that apply under South African law.
Where a limitation of liability is legally permissible, its scope may be further specified in the relevant service agreement.
15. Indemnity
To the extent permitted by law, you agree to be responsible for losses, claims or reasonable costs arising directly from your unlawful use of our services, your infringement of third-party rights, or your material breach of these Terms.
This provision does not make you responsible for losses caused by our own unlawful conduct or negligence, and it does not override any mandatory legal protection.
16. Changes to these Terms
We may update these Terms to reflect changes in our services, business operations or applicable law.
The latest version will be published on our website with its effective date. Where a change materially affects an existing paid service or contractual right, we will provide notice where required by law or the applicable agreement.
Changes will not retrospectively remove rights that have already accrued.
17. Complaints and dispute resolution
If you have a concern about our services, please contact us first at admin@engwenitech.live
We will make reasonable efforts to investigate and resolve complaints.
Nothing in these Terms prevents you from approaching a competent regulator, consumer protection body, court or other authorised dispute-resolution mechanism.
18. Governing law
These Terms are governed by the laws of the Republic of South Africa.
Disputes will be dealt with by a court or other forum with appropriate jurisdiction, subject to any mandatory consumer protection or dispute-resolution rights.
19. General provisions
If a provision of these Terms is found to be invalid or unenforceable, the remaining provisions will continue to apply to the extent permitted by law.
Our failure to enforce a provision immediately does not automatically waive our right to enforce it later.
These Terms, together with any applicable quotation or service agreement, form the agreement governing your use of the relevant services.
